ArboraX operates on structure, not ambiguity.

These terms define how systems are designed, how partnerships function, and how responsibilities are distributed. They exist to ensure clarity, alignment, and long-term effectiveness.

1. Nature of Engagement

ArboraX functions as a system architect.

The role is to diagnose constraints, design solutions, and guide implementation. Execution remains external to ArboraX.

2. Selective Partnership

Not all partnerships are aligned. ArboraX maintains the right to accept, decline, pause, or terminate engagements based on strategic fit.

3. No Guaranteed Outcomes

Systems create potential, not certainty. Outcomes depend on execution quality, timing, and external conditions.

4. Confidentiality

All frameworks, documents, and systems are confidential and protected.

5. Intellectual Property

ArboraX retains ownership of all systems and frameworks. Clients receive usage rights within the scope of engagement.

6. Execution Responsibility

We design. You execute.

Implementation, team coordination, and operational delivery remain the responsibility of the client.

7. Communication & Authority

Collaboration is continuous, but system integrity and structural decisions remain guided by ArboraX.

8. Payments

All payments are final unless explicitly stated otherwise within a written agreement.

9. Termination

Either party may terminate engagement. Misalignment or breach results in immediate termination without refund.

10. Liability

ArboraX is not responsible for financial loss, platform changes, or external disruptions.

11. Non-Dependence

Systems are designed to create independence, not reliance on ArboraX.

12. Amendments

Terms may evolve. Continued engagement indicates acceptance of updated terms.
